l  On September 30, the Dutch Minister of Economic Affairs issued a directive to freeze Nexperia and its 30 global subsidiaries’ assets, intellectual property, and operational authority. The directive also restricted any adjustments to assets, business, or personnel for one year, effectively removing decision-making power from the Chinese shareholder (Wingtech).

l  On October 1, Nexperia’s foreign executives applied to the Amsterdam Court of Appeal for emergency measures to suspend the chairman of Wingtech and place his shares under third-party custody. The court made a ruling without a hearing.

l  Impact: The event has led to restricted shipments from Nexperia’s Dongguan factory, affecting global production and supply chains. Several European car companies have halted production of some models due to shortages of automotive-grade chips. Wingtech Technology stated that it is taking “independent self-rescue” measures to ensure customer demand.

This ultimately allowed the CFO and Dutch legal officer to jointly block the dismissal decision.

 

Misalignment of governance and compliance rights

Facing the Dutch government’s requirement to set up a supervisory board with 20 veto powers (covering technology transfer, overseas investment, and other key matters), Wingtech refused citing “compliance with Dutch law,” but did not design governance in advance to buffer geopolitical pressures.
